1. Acceptance of Terms

By accessing or using any products, services, or websites provided by AutomataNexus, LLC ("Company," "we," "our," or "us"), including NexusConnect, NexusConnectBridge, NexusEdge, NexusBms, and NexusApollo (collectively, the "Services"), you agree to be bound by these Terms of Service ("Terms"). If you do not agree to these Terms, you may not access or use our Services.

2. Description of Services

AutomataNexus provides AI-powered building automation solutions, including:

  • NexusConnect: Cloud-based HVAC schematic design and AI model creation platform
  • NexusConnectBridge: GPU-accelerated AI model training and 3D rendering backend
  • NexusEdge: Edge computing platform with AI-powered fault detection and building management
  • NexusBms: Enterprise building management system with multi-facility support
  • NexusApollo: Portable HVAC diagnostic device with real-time AI analysis

3. Account Registration

To access certain features of our Services, you may be required to create an account. You agree to:

  • Provide accurate, current, and complete information during registration
  • Maintain and promptly update your account information
  • Keep your password secure and confidential
  • Accept responsibility for all activities under your account
  • Notify us immediately of any unauthorized use of your account

4. Acceptable Use

You agree not to use our Services to:

  • Violate any applicable laws, regulations, or third-party rights
  • Transmit malware, viruses, or other harmful code
  • Interfere with or disrupt the integrity or performance of our Services
  • Attempt to gain unauthorized access to any systems or networks
  • Reverse engineer, decompile, or disassemble any portion of our Services
  • Use our AI models or data for purposes not authorized by us
  • Resell or redistribute our Services without authorization
  • Override or circumvent safety features, including human-in-the-loop AI controls

5. Intellectual Property

5.1 Our Intellectual Property

All content, features, and functionality of our Services, including but not limited to software, AI models, algorithms, designs, text, graphics, logos, and trademarks, are owned by AutomataNexus, LLC and are protected by intellectual property laws. You may not copy, modify, distribute, or create derivative works without our express written permission.

5.2 Your Content

You retain ownership of any data, schematics, configurations, or other content you submit through our Services. By submitting content, you grant us a non-exclusive, worldwide, royalty-free license to use, process, and analyze such content to provide and improve our Services, including training AI models.

6. AI and Automation Disclaimer

Our Services utilize artificial intelligence and machine learning technologies for diagnostics, predictions, and automation. You acknowledge and agree that:

  • AI-generated recommendations and actions are advisory in nature
  • Human oversight and approval are required for critical operations
  • AI predictions may not be 100% accurate and should be verified
  • You are responsible for the final decision on any equipment changes or actions
  • Our human-in-the-loop safety features should not be disabled or bypassed
  • We are not liable for decisions made based solely on AI recommendations

7. Equipment and Installation

For hardware products (NexusEdge, NexusApollo):

  • Installation must be performed by qualified professionals
  • You are responsible for compliance with local building codes and regulations
  • Improper installation or modification voids any warranties
  • Electrical connections must comply with applicable safety standards
  • We are not responsible for damage resulting from improper installation

8. Payment Terms

For paid Services:

  • Fees are as specified in your service agreement or order form
  • Payment is due within 30 days of invoice unless otherwise agreed
  • Late payments may incur interest at 1.5% per month
  • Prices are subject to change with 30 days' notice
  • All fees are non-refundable unless otherwise specified

9. Service Level Agreement

For enterprise customers, specific uptime guarantees, support response times, and performance metrics may be defined in a separate Service Level Agreement (SLA). In the absence of an SLA, we will use commercially reasonable efforts to maintain service availability but do not guarantee specific uptime levels.

10. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW:

  • OUR SERVICES ARE PROVIDED "AS IS" WITHOUT WARRANTIES OF ANY KIND
  • WE DISCLAIM ALL WARRANTIES, EXPRESS OR IMPLIED, INCLUDING MERCHANTABILITY AND FITNESS FOR A PARTICULAR PURPOSE
  • WE ARE NOT LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES
  • OUR TOTAL LIABILITY SHALL NOT EXCEED THE AMOUNTS PAID BY YOU IN THE TWELVE (12) MONTHS PRECEDING THE CLAIM
  • WE ARE NOT LIABLE FOR EQUIPMENT DAMAGE, BUILDING DAMAGE, OR PERSONAL INJURY RESULTING FROM USE OF OUR SERVICES

11. Indemnification

You agree to indemnify, defend, and hold harmless AutomataNexus, LLC, its officers, directors, employees, and agents from any claims, damages, losses, liabilities, costs, and expenses (including reasonable attorneys' fees) arising from your use of the Services, violation of these Terms, or infringement of any third-party rights.

12. Termination

We may terminate or suspend your access to our Services:

  • Immediately for violation of these Terms
  • With 30 days' notice for any reason
  • Immediately if required by law

Upon termination, your right to use the Services will cease immediately. Provisions that by their nature should survive termination shall survive (including intellectual property, limitation of liability, and indemnification).

13. Governing Law

These Terms shall be governed by and construed in accordance with the laws of the State of Indiana, without regard to its conflict of law provisions. Any legal action or proceeding arising under these Terms shall be brought exclusively in the state or federal courts located in Indiana.

14. Dispute Resolution

Any dispute arising from these Terms or your use of our Services shall first be attempted to be resolved through good-faith negotiation. If negotiation fails, disputes shall be resolved through binding arbitration in accordance with the rules of the American Arbitration Association, except that either party may seek injunctive relief in court for intellectual property violations.

15. Changes to Terms

We reserve the right to modify these Terms at any time. We will provide notice of material changes by posting the updated Terms on our website and updating the "Last updated" date. Your continued use of our Services after any changes constitutes acceptance of the updated Terms.

16. Miscellaneous

  • Entire Agreement: These Terms constitute the entire agreement between you and AutomataNexus regarding the Services
  • Severability: If any provision is found unenforceable, the remaining provisions shall remain in effect
  • Waiver: Our failure to enforce any right or provision shall not constitute a waiver
  • Assignment: You may not assign these Terms without our written consent
  • Force Majeure: We are not liable for delays or failures due to circumstances beyond our control
